Terms of Service

1. Introduction
These Terms of Service ("Terms") govern the relationship between Binary Bridge AI ("we," "us," "our") and any client ("you," "the Client") engaging our services. By engaging us for a project, you agree to these Terms.
2. Scope of Services
We provide digital development, digital growth and optimization services as described in a signed proposal, statement of work or agreement specific to each project. These Terms apply alongside that project-specific agreement.
3. Project Requirements
The Client agrees to provide timely access to necessary information, brand assets, credentials, feedback and approvals required to complete the project on schedule.
4. Client Responsibilities
The Client is responsible for the accuracy of information provided, for timely review of deliverables, and for ensuring they have the rights to any materials supplied to us for use in the project.
5. Payment Terms & Milestones
Unless otherwise agreed in writing, projects are billed across four milestone payments totaling 100% of the agreed project fee:

6. Milestones & Approvals
Work will proceed in stages tied to the milestones above. Delays in Client approval or payment may delay the project timeline accordingly.
7. Revisions
Each project includes an agreed number of revision rounds as specified in the project proposal. Revisions beyond that scope are treated as additional work.
8. Additional Work
Work outside the originally agreed scope will be quoted separately and requires written approval before it begins.
9. Delays
Timelines depend on the Client providing timely feedback, content and approvals. Delays caused by the Client may extend the project timeline.
10. Cancellation
Either party may cancel a project in writing. Fees for work completed up to the cancellation date, including the relevant milestone payment, remain payable.
11. Refunds
Milestone payments correspond to work already completed or in progress and are generally non-refundable once the associated milestone has been reached, except as required by law or otherwise agreed in writing.
12. Intellectual Property
Upon full payment, ownership of final deliverables created specifically for the Client transfers to the Client, excluding any pre-existing tools, frameworks or proprietary systems we use to deliver the work, which remain our property.
13. Third-Party Services
Projects may rely on third-party platforms, plugins or services (e.g. hosting, licensing). The Client is responsible for any ongoing fees associated with such third-party services after handover, unless otherwise agreed.
14. Hosting & Domain
Unless included in the project scope, hosting and domain registration/renewal are the Client's responsibility.
15. Maintenance
Post-launch maintenance is not included unless separately agreed. Maintenance and support packages can be arranged on request.
16. Delivery
Final deliverables are provided upon completion of Milestone 04 and receipt of the final payment.
17. Confidentiality
Both parties agree to keep confidential information shared during the engagement private and to use it solely for the purposes of the project.
18. Liability
To the extent permitted by law, our liability for any claim arising from a project is limited to the fees paid for that project. We are not liable for indirect or consequential losses.
19. Dispute Resolution
We aim to resolve disputes through good-faith discussion. Where that is not possible, disputes will be resolved in accordance with the governing law below.
20. Governing Law
These Terms are intended to be governed by the laws of India, subject to final confirmation during legal review.
